1. Acceptance of Terms
By accessing heathforddigital.com.au or engaging Heathford Digital (ABN 54 347 435 344) for web design, development, or automation services, you agree to be bound by these Terms of Service. If you do not agree, you must not use our website or services.
2. Services & Quotes
Heathford Digital provides custom website design, development, and digital services. Free Concepts: Free homepage concepts are provided with no obligation. Heathford Digital retains intellectual property rights to unused concepts. Fixed-Price Quotes: All full builds are governed by a written, fixed-price quote agreed upon before work commences. Any out-of-scope requests or major additions requested after proposal acceptance will require a separate written agreement.
3. Payment Terms
Projects are billed according to the milestone payment schedule outlined in your individual project proposal. Invoices are payable within the timeframe stated on the invoice (typically 7–14 calendar days). Final deliverables, website deployments, and code transfers occur only upon receipt of full final payment.
4. Client Obligations & Content
You are responsible for providing all necessary text, logos, branding assets, images, and credentials in a timely manner. You warrant that all materials supplied to Heathford Digital do not infringe on third-party copyrights, trademarks, or intellectual property rights.
5. Ownership & Intellectual Property
Unused Concepts: Heathford Digital retains full ownership of all unused designs, draft concepts, and code created prior to project sign-off or contract completion. Final Deliverables: Upon full payment of all fees, full ownership of the final customized design and code transfers outright to the client. Portfolio Rights: Unless explicitly agreed otherwise in writing, Heathford Digital retains the right to display completed website designs and case studies in its portfolio and marketing materials.
6. Warranties & Limitation of Liability
Services are provided on an "as is" and "as available" basis. While we build fast, accessible, and optimized websites, we do not guarantee specific search engine rankings or financial revenue outcomes. To the maximum extent permitted by Australian Consumer Law, Heathford Digital's liability for any breach or claim arising from our services is limited to the total amount paid by the client for the specific project giving rise to the claim. We are not liable for any indirect, incidental, or consequential damages, including loss of profits, data loss, or server downtime caused by third-party hosting providers.
7. Termination
Either party may terminate an active project engagement by written notice if the other party breaches a material term of these Terms. In the event of early client cancellation, the client remains responsible for payment proportional to the work completed up to the date of notice.
8. Governing Law
These Terms are governed by and construed in accordance with the laws of Queensland, Australia. Any legal dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Queensland.
